Terms of Service

1. About these terms

These Terms of Service ("Terms") form a legally binding agreement between you (the "Customer") and Regovix (ABN 19 735 810 326), operated by Madhu Pattarambil ("Regovix", "we", "us", or "our"), governing your use of the Regovix platform and all associated applications accessible at regovix.com.au and via Base44-hosted URLs.

By registering for a Regovix account, starting a free trial, or using any Regovix application, you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Your account

• You must provide accurate, complete, and current information when creating an account
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at maddypat@regovix.com.au if you suspect unauthorised access to your account
• You must be at least 18 years old to create a Regovix account
• One account may be used to manage multiple sites and users, subject to your subscription plan limits

3. Subscriptions and payment

Subscription plans

Regovix offers individual app plans from $29 AUD/month, a Growth Bundle at $299 AUD/month, and a Full Bundle at $749 AUD/month. Plan details and pricing are displayed at regovix.com.au/pricing and may be updated from time to time with notice to existing subscribers.

Billing

• Subscriptions are billed monthly or annually in advance
• Payment is processed securely by Stripe. By subscribing you authorise Stripe to charge your nominated payment method on each billing date
• All prices are in Australian Dollars (AUD). GST is added at checkout for Australian businesses
• Annual subscriptions are billed as a single upfront payment and include a 2-month discount

Failed payments

If a payment fails, we will notify you by email and attempt to retry the charge. If payment remains outstanding after 14 days, access to the platform may be suspended until payment is received. Your data will be retained for a further 30 days before permanent deletion.

4. Free trial

• Each Regovix app offers a 21-day free trial — no credit card required
• RiskMatrix offers a permanent free tier for up to 3 risk matrices per month
• Free trial accounts have access to all features of the relevant plan
• At the end of the trial period, you will be prompted to subscribe to continue using the platform. If you do not subscribe, your trial account will be deactivated and data retained for 30 days
• Free trials are limited to one per organisation per app

5. Acceptable use

You agree to use Regovix only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform to store, transmit, or process any information that is illegal, defamatory, or infringes third-party rights
• Attempt to gain unauthorised access to any part of the platform or another customer's account
• Use automated tools, bots, or scripts to access the platform in a manner that imposes an unreasonable load on our infrastructure
• Resell or sublicense access to the platform to third parties without our prior written consent (except as expressly permitted under Consultant plans)
• Reverse engineer, decompile, or attempt to extract the source code of any Regovix application
• Use the platform to transmit unsolicited communications (spam)
• Enter false or fictitious compliance data — Regovix records are compliance records and must be accurate

6. Your data and intellectual property

• Your data belongs to you. All compliance records, documents, reports, and data you enter into Regovix remain your property at all times
• You grant Regovix a limited licence to store, process, and display your data solely for the purpose of providing the platform services to you
• You can export your data at any time using the PDF and CSV export functions built into each application
• Upon account cancellation, you have 30 days to export your data. After this period, data will be permanently deleted except where retention is required by law
• You are responsible for ensuring that data entered into Regovix does not violate any third-party rights or applicable laws
• Regovix will not access, use, or disclose your data except as described in our Privacy Policy or as required by law

7. Our intellectual property

• The Regovix platform, applications, brand, logos, and all associated software are the intellectual property of Regovix
• These Terms grant you a limited, non-exclusive, non-transferable licence to use the platform for your internal business compliance purposes during your active subscription
• Nothing in these Terms transfers ownership of Regovix's intellectual property to you
• The Regovix name, logo, and brand are registered or pending registration as trademarks in Australia. You may not use our trademarks without prior written consent

8. Availability and service levels

• We aim to maintain platform availability of 99% or greater, excluding scheduled maintenance
• Scheduled maintenance will be communicated by email with at least 24 hours notice where possible
• Regovix applications are built on the Base44 platform. Platform-level outages may occasionally affect availability and are outside our direct control
• We do not guarantee uninterrupted access and are not liable for temporary unavailability
• We will communicate any significant outages or data incidents to affected customers as soon as practicable

9. Limitation of liability

To the maximum extent permitted by Australian Consumer Law:

• Regovix provides the platform "as is" without warranties of fitness for a particular purpose beyond those implied by law and unable to be excluded
• Regovix is not liable for any indirect, consequential, special, or incidental loss arising from your use of the platform, including loss of data, loss of profits, or regulatory penalties
• Our total aggregate liability to you in any 12-month period is limited to the total subscription fees paid by you to Regovix in that period
• Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be lawfully excluded under the Australian Consumer Law

10. Your compliance obligations

Regovix provides tools to assist with compliance management. However:

• You remain solely responsible for your organisation's compliance with all applicable Australian laws including the WHS Act 2011, WHS Regulations, ADG Code, HVNL, and EPA legislation
• Regovix does not provide legal advice. Nothing in the platform or its content constitutes legal, safety, or regulatory advice
• You should seek independent legal or HSEQ professional advice for specific compliance questions
• The accuracy and completeness of all compliance records entered into Regovix is your responsibility
• You are responsible for ensuring that all users within your organisation use the platform correctly and in accordance with these Terms

11. Cancellation and termination

Cancellation by you

• You may cancel your subscription at any time from your account settings or by emailing maddypat@regovix.com.au
• Cancellation takes effect at the end of the current billing period
• After cancellation, you have 30 days to export your data before it is permanently deleted

Termination by Regovix

• We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay outstanding amounts after reasonable notice
• We may terminate or discontinue the platform with 90 days written notice to subscribers. In this event, a pro-rata refund will be provided for the unused portion of any annual subscription

12. Refund policy

• Monthly subscriptions: No refunds for the current billing period. Cancellation prevents future charges.
• Annual subscriptions: Pro-rata refund for the unused portion of the annual term if you cancel within the first 90 days. No refunds after 90 days except where required by Australian Consumer Law.
• Free trial: No charge applies during the trial period — no refund necessary.
• Platform discontinuation: Full pro-rata refund of any prepaid subscription amounts if Regovix discontinues the platform.
• Refund requests must be submitted to maddypat@regovix.com.au. We process approved refunds within 14 business days.

13. Changes to the service

• We may add, modify, or remove features from the platform at any time
• Material feature removals will be communicated by email with at least 30 days notice
• Pricing changes for existing subscribers will be communicated with at least 30 days notice and take effect at the next billing renewal
• We continually improve the platform — new features are added regularly and are available to all subscribers on relevant plans at no additional charge unless specified

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email to registered account holders at least 14 days before taking effect. The current version is always available at regovix.com.au/terms.html.

Continued use of Regovix after a Terms update constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you may cancel your subscription before the changes take effect.

15. Governing law

These Terms are governed by the laws of New South Wales, Australia. You and Regovix submit to the exclusive jurisdiction of the courts of New South Wales for any dispute arising from these Terms or your use of the platform.

We encourage you to contact us directly to resolve any dispute before initiating formal proceedings — we will always try to resolve issues fairly and promptly.
